Terms of Service
The rules of using Mise. We tried to keep these short and plain. Read them; you're agreeing to them when you sign up.
Who we are
Mise (“Mise,” “we,” “us”) is a bookkeeping software product operated by Mise en Comptes, LLC, a Delaware limited liability company. By signing up, you (an individual representing a business) agree to these terms.
What we provide
Mise reads bank transactions, categorizes them using a rules engine and an AI agent, reconciles POS and payment-processor settlements against bank deposits, and pushes journal entries to QuickBooks Online. The product evolves; the current feature set is what’s available at miseencomptes.com on any given day.
Mise is software, not a bookkeeping service. We don’t review your books. We don’t file your taxes. We don’t act as a fiduciary or hold your money. See What we are not below.
Subscription, billing, and trial
- Trial. Every business gets a 14-day free trial starting the day you create it. No card required to start.
- Plan. Plus is $79 per business per month, billed monthly in advance, in US dollars. Multi-business pricing is quoted individually.
- How charges work.When you subscribe, we charge your card immediately. The next charge runs 30 days later, and monthly after that. We’ll email a receipt every time.
- Failed payments.If your card fails, Stripe retries on its standard schedule. We’ll show a banner inside the app and email you. If we can’t collect for ~14 days, the subscription enters “past due” and new QuickBooks pushes pause until payment clears.
- Price changes.If we change pricing, we’ll email active subscribers at least 30 days before the change takes effect. You can cancel before then to avoid the new price.
Cancellation, refunds, and access
You can cancel any time from inside the app at /app/billing→ Manage subscription. Cancellations take effect at the end of your current billing period — you keep using Mise until then.
After cancellation:
- Your journal entries are already in QuickBooks. They stay there regardless of what happens to your Mise account.
- Your data in Mise stays for 90 days in case you reactivate. After that we delete it unless you ask us to delete it sooner.
- You can still log in and read your existing data. New bank syncs and QuickBooks pushes are paused until you resubscribe.
Refunds.If you cancel within 7 days of your first paid charge and you haven’t pushed anything to QuickBooks, email us and we’ll refund that charge in full. After that, charges aren’t refundable except where required by law — but you can cancel any time to stop future charges.
What you agree to
You agree to use Mise only for your own legitimate bookkeeping. Specifically, you won’t:
- Use Mise to launder money, conceal income, falsify books, or commit fraud. We will cooperate with any law-enforcement request related to suspected financial crime.
- Try to break, reverse-engineer, or overload the service in ways that aren’t normal use.
- Share your account credentials with someone outside your business. Each business has its own subscription; if you want to let your bookkeeper in, that’s great — invite them as a user, don’t hand them your password.
- Connect bank accounts or QuickBooks instances that aren’t yours, without the owner’s authorization.
- Resell Mise as part of another product without a separate agreement with us.
We can suspend or terminate accounts that violate these terms. For serious violations (fraud, illegal activity) we may do so without notice.
What we are not
We are not your accountant. Mise proposes categorizations and produces journal entries, but a human still needs to review the books. Specifically:
- AI categorizations are proposals, not facts. The product shows you a confidence level on every proposal and asks you to confirm before pushing to QuickBooks. We don’t guarantee accuracy. Your CPA is the one who signs your books.
- We don’t file your taxes.Mise prepares the underlying ledger; your tax preparer (or tax software) uses it to file. We’re not registered with the IRS as a preparer.
- We don’t give advice. Nothing in the product is tax advice, accounting advice, investment advice, or legal advice. If you need any of those, hire someone qualified.
- We’re not a fiduciary.We don’t hold your money. Plaid reads your bank in a read-only mode; Mise itself never moves funds.
If a Mise categorization causes you to file something wrong, the responsibility for the filing is yours and your CPA’s. We will absolutely help you understand what Mise did and why, but we can’t take on the legal exposure of being your bookkeeper-of-record.
Your data
How we collect, use, and protect your data is covered in detail in the Privacy Policy. Short version: we don’t sell it, we don’t train shared AI models on it, and you can delete it any time.
Service availability
We aim for high uptime but don’t guarantee it. Mise is provided “as is.” If a third-party service we depend on (Plaid, Anthropic, Intuit, Stripe, Supabase, Vercel) has an outage, parts of Mise may not work until they’re back. We post known issues to the support address below.
Limitation of liability
To the maximum extent allowed by law, Mise’s total liability to you for anything related to the service is capped at the greater of (a) $100 or (b) the amount you paid us in the 12 months before the claim. We’re not liable for indirect, consequential, or special damages — missed deductions, audit costs, lost profits, etc.
This limit exists because Mise costs $79/month and we can’t underwrite the full risk of a business’s books at that price point. If you need indemnification for a large risk surface, your CPA is the right partner, not your software.
Changes to these terms
We’ll email active subscribers at least 30 days before any material change to these terms. Continued use after the change means you accept the new version. If you don’t, you can cancel before the new terms take effect.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved in state or federal courts in Delaware, unless we mutually agree otherwise.
